1. Agreement to Terms

Welcome to Only Do Good ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at shop.onlydogood.co (the "Site") and any purchases you make through the Site.

By accessing the Site or making a purchase, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

These Terms constitute a legally binding agreement between you and Only Do Good, LLC. Please read them carefully.

2. Eligibility

You must be at least 18 years old to use the Site or make purchases. By using the Site, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are a resident of the United States
• You are not prohibited from using the Site under any applicable law

We currently only ship to addresses within the United States (including Alaska, Hawaii, and U.S. territories).

3. Account Registration

To make purchases and participate in our Karma points program, you may create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We offer passwordless login via secure email links ("magic links"). When you sign in, we send a one-time login link to your email address. Keep your email account secure.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Products and Purchases

4.1 Product Descriptions

We strive to accurately describe our products, including ingredients, usage instructions, and images. However, we do not warrant that product descriptions, images, or other content on the Site are accurate, complete, reliable, current, or error-free.

4.2 Pricing

All prices are displayed in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes or shipping costs, which will be calculated at checkout.

We reserve the right to correct pricing errors. If a product's correct price is higher than the listed price, we will contact you before processing the order to confirm you wish to proceed.

4.3 Order Acceptance

Your submission of an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including:

• Product availability
• Errors in product or pricing information
• Suspected fraud or unauthorized transactions
• Shipping restrictions

An order is not accepted until we send a confirmation email and successfully process payment.

4.4 Payment

We use Stripe to process payments securely. By providing payment information, you represent that you are authorized to use the payment method. You agree to pay all charges at the prices in effect when incurred, plus any applicable taxes and shipping costs.

Risk of loss and title for purchased products passes to you upon delivery to the shipping carrier. We are not responsible for delays caused by shipping carriers, weather, or other circumstances beyond our control.

We offer a 30-day satisfaction guarantee. Please review our Return Policy for complete information about returns, exchanges, and refunds.

If you are not satisfied with your purchase, contact us at support@onlydogood.co within 30 days of delivery to arrange a return.

7. Karma Points Program

7.1 Earning Karma

When you make a qualifying purchase, you earn Karma points at a rate of 10 points per $1 spent (calculated on the product subtotal before taxes and shipping). Points are credited to your account after your order is fulfilled.

7.2 Allocating Karma

You may allocate your Karma points to:

• Charitable Causes: Direct your Karma to supported 501(c)(3) charitable organizations
• Personal Goals: Track progress toward personal empowerment objectives

7.3 Important Terms

7.4 Program Changes

We reserve the right to modify, suspend, or terminate the Karma program at any time. We will provide at least 30 days' notice of material changes to program terms. Your continued participation after changes constitutes acceptance of the modified terms.

7.5 Forfeiture

Karma points may be forfeited if:

• You return a purchase (points from that purchase will be deducted)
• Your account is terminated for violation of these Terms
• You request deletion of your account
• We detect fraudulent activity on your account

8. Charitable Giving

8.1 Our Commitment

Only Do Good is committed to supporting charitable causes. We donate a portion of our net operating profits to 501(c)(3) charitable organizations. The specific percentage and timing of donations is determined by our company and may vary.

8.2 Impact Estimates

Throughout the Site, we display estimated impact figures (such as trees planted, meals provided, or ocean plastic removed). These estimates are based on average program costs reported by our charity partners and are provided for illustrative purposes only.

8.3 Charity Partners

We partner with established 501(c)(3) charitable organizations. Current partners are displayed on our Site. We may add or remove partner organizations at our discretion to ensure alignment with our mission.

8.4 Your Role

When you allocate Karma points to charitable causes, you are expressing a preference for how we direct our charitable giving. The actual donations are made by Only Do Good, not by you. You will not receive a tax deduction for your purchases or Karma allocations.

9. Intellectual Property

All content on the Site—including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software—is owned by Only Do Good or our licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, distribute, or create derivative works of Site content without our express written permission
• Use our trademarks, logos, or brand elements without written consent
• Remove any copyright, trademark, or other proprietary notices
• Frame or mirror any portion of the Site

10. User Conduct

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Interfere with or disrupt the Site's operation or security
• Attempt to gain unauthorized access to any systems or networks
• Submit false, misleading, or fraudulent information
• Use automated systems (bots, scrapers, etc.) to access the Site
• Engage in any conduct that restricts or inhibits others' use of the Site
• Impersonate any person or entity
• Harass, abuse, or harm another person

11. Disclaimers

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE OR SERVER ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONLY DO GOOD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• YOUR USE OF OR INABILITY TO USE THE SITE OR PRODUCTS
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
• ANY CONTENT OBTAINED FROM THE SITE
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Only Do Good and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Site or products
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Any content you submit or transmit through the Site

14. Dispute Resolution

14.1 Informal Resolution

Before filing any legal claim, you agree to contact us at hello@onlydogood.co to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

14.2 Governing Law

These Terms and any dispute arising from your use of the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

14.3 Jurisdiction and Venue

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Only Do Good.

15. Changes to Terms

We may update these Terms from time to time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page.

For material changes, we will provide notice through the Site or by email. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you should discontinue use of the Site.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Only Do Good regarding your use of the Site and supersede any prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
